1. Agreement to Terms
By accessing or using TimeFlow's cloud-based point-of-sale software and related services (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
TimeFlow provides a cloud-based software platform designed for repair shops to manage point-of-sale operations, inventory, repair tickets, payments, appointments, employee management, billing, invoicing, and reporting.
3. Account Registration
To use the Service, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Be at least 18 years old
- Have the legal authority to bind your business to these Terms
- Notify us immediately of any unauthorized use of your account
4. Subscription and Payment
4.1 Subscription Plans
The Service is offered on a subscription basis. You agree to pay all fees associated with your selected subscription plan.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as otherwise stated in your subscription agreement.
4.3 Price Changes
We reserve the right to modify our pricing with 30 days' notice. Price changes will apply to your next billing cycle.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction
- Infringe upon the intellectual property rights of others
- Transmit any viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use the Service to store or process sensitive data without proper authorization
6. Intellectual Property
The Service, including its original content, features, and functionality, is owned by TimeFlow Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
7. User Content
You retain ownership of any data, information, or content you submit to the Service ("User Content"). By using the Service, you grant us a license to use, store, and process your User Content solely for the purpose of providing the Service.
8. Data Backup and Loss
While we implement reasonable data backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for any loss of data or content.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice and may suspend access in case of emergencies.
10. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your right to use the Service will immediately cease
- You remain responsible for all fees incurred prior to termination
- We may delete your account and data after a reasonable retention period
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
13. Indemnification
You agree to indemnify and hold harmless TimeFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
